GENERAL TERMS AND CONDITIONS – REIGN77

Article 1 – Identity
Reign77, based in the Netherlands, registered with the Chamber of Commerce.
Hereinafter referred to as: “Reign77”.

Article 2 – Applicability

  1. These terms and conditions apply to all quotes, agreements, and work carried out by Reign77.
  2. Deviations are only valid if agreed in writing.
  3. The client's general terms and conditions are expressly excluded.

Article 3 – Services

  1. Reign77 offers, among other things:
  • Business analysis and market research
  • Marketing strategy and positioning
  • Branding and logo design
  • Web design and website development
  • SEO (Search Engine Optimisation)
  1. Reign77 delivers a Best Effort obligation and not a Results obligation.

Article 3.1 – Social media and content creation

  1. Reign77 provides social media services, including:
  • Content strategy
  • Content creation (text and visual)
  • Social media account management
  1. Reign77 offers no guarantees on reach, growth, engagement, or conversions via social media.
  2. Content is supplied based on a pre-agreed schedule and quantities.
  3. The client remains responsible for:
  • Content approval
  • Timely feedback
  • Final responsibility for posted content
  1. Reign77 is not liable for third-party results or reactions on social media.
  2. The accounts remain the property of the client, unless otherwise agreed.

Article 4 – Offers and agreements

  1. Quotations are valid for 14 days, unless otherwise stated.
  2. An agreement is concluded after written or digital confirmation.
  3. Reign77 reserves the right to refuse orders.

Article 5 – Execution of the assignment

  1. Reign77 performs work to the best of its knowledge and to a professional standard.
  2. The client will timely provide all necessary input (such as information, texts, images, and access).
  3. Delays due to missing input are the responsibility of the client.
  4. Delivery times are indicative and not binding deadlines.

Article 6 – Payment

  1. Invoices must be paid within 14 days.
  2. Reign77 can work with down payments and instalment payments.
  3. In case of late payment:
  • Is the client automatically in default?
  • Can interest and collection costs be charged?
  • Reign77 to suspend operations
  • Can a website be temporarily taken offline

Article 7 – Intellectual Property and Usage

  1. All concepts, strategies, designs, logos, texts, and websites developed by Reign77 remain the property of Reign77 until full payment.
  2. Upon full payment, the client obtains a non-exclusive right of use, unless otherwise agreed.
  3. Concepts, strategies and designs may not be reused, adapted or executed by third parties without consent.
  4. It is not permitted to implement strategies or concepts developed by Reign77 internally or externally without payment of the agreed fee.
  5. Reign77 reserves the right to display work in portfolios and promotions.

Article 8 – Branding and design-specific

  1. For logo and branding projects, a predetermined number of concepts and revision rounds are provided.
  2. Unselected concepts remain the property of Reign77.
  3. The final design only becomes property after full payment.
  4. Reign77 does not guarantee legal availability of brands or trade names (such as brand rights).

Article 9 - Strategy and advice

  1. Strategic advice and analyses are based on available data and insights at the time of execution.
  2. Reign77 is not responsible for decisions the client makes based on advice.
  3. The results of strategies depend on execution and external factors.

Article 10 – SEO and Marketing

  1. Reign77 offers no guarantees on rankings, traffic, or revenue.
  2. Results are dependent on external factors such as algorithms, competition, and market developments.
  3. Changes in search engines are beyond Reign77's influence.

Article 11 – Maintenance and subscriptions

  1. Ongoing services (such as SEO or maintenance) are provided on a contractual basis.
  2. The notice period is 1 month, unless otherwise agreed.
  3. Work will be carried out within a reasonable timeframe.

Article 12 – Hosting and third parties

  1. Reign77 uses external tools and parties (such as hosting, plugins, and software).
  2. Reign77 is not liable for any malfunctions, errors, or changes made by these third parties.
  3. Costs for external tools can be passed on.

Article 13 – Liability

  1. Reign77 is not liable for:
  • consequential loss (such as loss of revenue or missed opportunities)
  • damage due to incorrect input from the client
  1. Liability is limited to the invoice amount of the order.
  2. Reign77 is not responsible for third-party alterations after delivery.

Article 14 – Termination

  1. Both parties may terminate the agreement in writing.
  2. Work already carried out will be invoiced.
  3. In case of early termination, hours worked and costs incurred will be charged.

Article 15 – Force Majeure
Reign77 is not liable for delay or non-compliance due to force majeure, including illness, technical malfunctions, or external dependencies.

Article 16 – Governing Law
Dutch law shall apply to all agreements.

Article 17 – Final Provisions
If a provision proves invalid, the remaining provisions shall remain in full force and effect.
